QI CAPITAL PTE LTD. ENGAGEMENT

QI Capital financial services engagement strategy is anchored on the type and category of services being rendered to either our private investor clients or to our capital beneficiary clients. Other concerns such as privacy and preferences will also be considered in all negotiations and engagements as appropriately documented. For engagements with our private investor partners, our engagement officially starts with the executions of the following documents; Mutual None Circumvention None Disclosure Agreement (MNCNDA); Letter of Exclusive Authority (LOEA); Letter of Agreed Income (LOAI) and Capital Source/Volume Document. This is followed with the closing meeting with the Board and Management of QI CAPITAL PTE LTD.

QI Capital Engagement strategy with our capital beneficiary clients follows outlined stages.

Stage1 – Capital Investment Interest/Request

This signifies the initial interests of our beneficiary partners in the capital investment services offered through QI Capital PTE ltd. These initial requests could be characterized by the submission of such documents as; Letter of Interest (LOI) or Detailed Business Plan Report (BPR), including Cash Flow Analysis or Business Executive Summary (BES) or Services Purchase Agreement (SPA) or Itemized project overall summary with the particulars of such project promoters or a combination of all of the listed documents. PLEASE NOTE THAT QI CAPITAL PTE LTD IS HAPPY TO PROVIDE A SIGNED (MNCNDA) for all documents provided.

Stage 2 – Project/Investment Review

This is a period of multiple independent reviews of the proposals and projects submitted, with strict interest in their long term commercial viability. An independent review of the organizations and its promoters will also be conducted for its potentials and active strengths. Independent reviews on the other external factors such as environment, political, civil and religious and effects on the potential investments risks are also considered by independent teams and risk advisers. The outcomes of these processes are compared with our key stakeholders and private investors with a view to securing a positive capital investment commitment. This stage is subject to a varied degree of shifts and delays owing to presentations and renegotiations. Outcomes of this stage are made known to our capital investment beneficiaries.

Stage 3 – Pre-Closing and Disbursement

This stage follows for all positive investment commitment outcomes with our key stakeholders and private investor partners. This stage will require the final review and assessment of all required documentations, application forms as well as the acceptance and executions of the secured capital investment agreements. Pre disbursement formalities shall follow in line with the given terms of our key stakeholders and private investor partners, and this may include the registration of documents, agreements and confirmation of assets or capital security.

In most circumstances and irrespective of our capital beneficiary’s credit ratings, we provide independent capital investment review purely focused on the long term viability of the proposed projects, promoter’s experience and repayment assets based capacity. The final step is the securitization of any finalized capital investment approval, and this may require the beneficiary’s provision of an AA rated financial insurance guarantee bond or surety bond with same rating or its equivalent and fully endorsed by our investment pool.

Pre-Approval Qualifying Assets

An essential qualifier for the investment capital approval by our private investor pool is the ability of our beneficiaries to provide a viable business plan combined with a qualifying asset as evidence of existing business or individual strength, and convertible assets. These qualifying asset considerations will include the following:

· The planned project asset such as real estate, equipment/inventory etc.

· Executed sales and purchase agreement (SPA)

· Publicly-traded stock and marketable/disposable securities

· Intellectual property rights

· U.S. Treasury bills (T-bills), bonds, mutual funds, and money market funds

· Pensions, annuities, royalties, retirement investment accounts, etc.

· Certificates of Deposit (CDs), promissory notes

Pre-Disbursement Qualifying Conditions

Investment capital disbursement is completed within 7 business days of beneficiary fulfillment of the disbursement qualifying conditions listed

· Approved investment partnership notice and acceptance with completed investment application

· Signed investment partnership agreement

· Registered investment partnership agreement

· Capital Repayment Surety/Guarantee Bond / Asset (subject to the private investor pool preference)
